Agreement to Terms
By accessing or using NeatDrive, you agree to be bound by these Terms of Service. If you disagree with any part of the terms, you may not access the service.
Description of Service
NeatDrive is a Google Drive audit and cleanup tool operated by NeatDrive LLC. The service operates in two modes:
Scan (read-only). By default, NeatDrive connects to your Google Drive using read-only access and scans file metadata — including file names, sizes, types, sharing settings, folder structure, and modification dates. The default scan reads file metadata only and does not access the contents of your files.
Two optional features read file contents, and only when you choose to use them: content-aware (AI) naming, and content-based duplicate check. Both are available only after you grant write access, and both operate only on files you select. When you select files for AI naming, NeatDrive reads a limited portion of the contents of those specific files, solely to suggest a name. When you select files for a content-based duplicate check, NeatDrive downloads each file's bytes to compute a SHA-256 hash in memory, then discards the bytes — they are never written, logged, or sent onward — and keeps only the hash, solely to confirm the files are genuinely identical. Duplicate detection, which runs automatically during a scan, does not read file contents; it compares the MD5 checksum Google supplies with each file's metadata. Neither optional feature runs unless you invoke it, and neither is applied to your Drive as a whole.
NeatDrive uses this metadata to generate a Drive Health Score and an Action Plan that identifies issues such as publicly shared files, duplicate files, and naming inconsistencies.
Cleanup actions (write, user-initiated). If you choose to apply a cleanup action — such as revoking a sharing permission, archiving a file, or renaming a file — NeatDrive will request additional write permissions from Google. You may grant or decline this permission. If granted, NeatDrive uses write access solely to execute the specific actions you have reviewed and approved. No changes are made to your Drive automatically or without your explicit approval.
The free tier provides scan access only. Write-action cleanup features are available on paid plans.
Logging and reversibility
Every write action you approve is recorded in your account's activity log.
Whether an action can be undone, and for how long, depends on the action.
Archived files. Most cleanup actions do not delete anything. NeatDrive moves the file into a folder named NeatDrive Archive inside your own Google Drive. Nothing removes it from there — not NeatDrive, and not on any schedule — so the file remains yours to move back or delete yourself. Archived files continue to count toward your Google storage quota until you remove them.
Deleted files. Bulk delete moves files to your Google Drive Trash. NeatDrive can restore them from the activity log for 7 days. After that, they remain in Google's Trash for the remainder of Google's own recovery period, which is set and controlled by Google, and you can restore them there yourself.
Sharing permissions revoked. When NeatDrive revokes a sharing permission at your direction, it retains the information needed to restore that permission for a limited period after the action, shown to you at the time you approve it. After that period the information expires and NeatDrive can no longer restore the permission.
NeatDrive restores a revoked permission at the level it was recorded. Viewer, Commenter, Editor and Content manager access are restored unchanged. NeatDrive cannot restore Manager access or ownership; those revocations are permanent as far as NeatDrive is concerned.
Ownership transfers. If you transfer ownership of a file, Google reassigns it immediately. NeatDrive cannot reverse an ownership transfer. Only the new owner can transfer it back.
Revoked sharing: restorable in NeatDrive for 30 days. Archived files: not deleted, and yours to restore at any time. Deleted files: restorable in NeatDrive for 7 days — note that this is shorter than Google's Trash period, so once the 7 days pass you must restore the file yourself from Google Drive Trash before Google's own period ends. Transferring ownership can't be reversed — Google requires the new owner to give it back. You are responsible for maintaining independent backups of files you consider important.
User Responsibilities
Users are responsible for maintaining the confidentiality of their Google account credentials.
Users agree not to use NeatDrive to access or scan Drives they do not own or have explicit permission to access.
Users are responsible for backing up important files before using any cleanup features.
Disclaimer of Warranties
The NeatDrive service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, NeatDrive LLC disclaims all implied warranties, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
NeatDrive LLC does not warrant that the service will be uninterrupted, timely, secure, or error-free; that the results of any scan, health score, or action plan will be accurate or complete; or that any defect will be corrected. NeatDrive identifies possible issues in your Google Drive and proposes actions for your review. You decide which actions to approve. You remain responsible for the contents of your Google Drive.
Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.
Limitation of Liability
To the maximum extent permitted by applicable law:
NeatDrive LLC will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, business opportunity, or data, arising out of or relating to your use of or inability to use the service, whether based in contract, tort (including negligence), strict liability, or any other theory, and whether or not NeatDrive LLC has been advised of the possibility of such damages.
NeatDrive LLC's total cumulative liability for all claims arising out of or relating to the service or these Terms will not exceed the greater of (a) the total amount you paid NeatDrive LLC in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (USD $100).
These limitations apply to the maximum extent permitted by law and survive any failure of essential purpose of any limited remedy. They do not limit liability for fraud, willful misconduct, or any liability that cannot be excluded or limited under applicable law.
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so some of the above may not apply to you.
Your Responsibilities and Indemnity
You are responsible for maintaining independent backups of any files you consider important. Google Drive's own trash, version history, and takeout features are independent of NeatDrive and are not a substitute for a backup you control.
You agree to indemnify and hold harmless NeatDrive LLC and its officers, employees, and agents from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of your use of the service, your violation of these Terms, or your violation of any rights of a third party — including any claim brought by a person whose access to a file was changed through an action you approved.
Intellectual Property
The NeatDrive service, including its design, features, and content, is owned by NeatDrive LLC and protected by intellectual property laws. You may not copy, modify, or distribute any part of the service without our permission.
Termination
We may terminate or suspend your access to NeatDrive at any time, without prior notice, for conduct that we believe violates these Terms or is harmful to other users or us.
Changes to Terms
We reserve the right to modify these terms at any time. We will notify users of significant changes via email or through the service.
Governing Law and Venue
These Terms are governed by the laws of the State of Oregon, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these Terms or the service will be brought exclusively in the state or federal courts located in Multnomah County, Oregon, and you consent to the personal jurisdiction of those courts.
If any provision of these Terms is held unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force.
